Terms & Conditions

Definitions

  • Agreement. Any signed contract, proposal, service order, scope of work, onboarding documentation, or related materials approved by both parties.
  • Client Data. Any information, credentials, content, media files, documentation, code, branding materials, or other assets supplied by the client for project execution.
  • Deliverables. All agreed project outputs, including software modules, web applications, backend systems, APIs, integrations, documentation, and related technical work produced under the agreement.
  • Proprietary Resources. All frameworks, deployment methods, reusable components, internal systems, development utilities, scripts, templates, libraries, processes, and technical solutions owned or licensed by our company.
  • Final Deliverables. The completed and approved version of the project deliverables provided to the client according to the agreed scope.
  • Project. The development, recruitment, consulting, maintenance, migration, integration, or technical services described in the approved agreement.
  • Services. All professional services provided by our company, including CodeIgniter development, consulting, application support, recruitment, maintenance, and related technical activities.
  • Third-Party Services. Any hosting providers, cloud services, APIs, external libraries, plugins, software licenses, stock materials, or other resources owned by third parties.

Service Provision

Our company agrees to provide development and related technical services according to the approved project scope, timeline, and milestone structure.

Proposal and Scope of Work

Commercial proposals remain valid for thirty (30) calendar days unless otherwise specified.

If a proposal is not accepted within this period, we reserve the right to revise pricing, timelines, staffing availability, or project recommendations before resubmitting an updated version.

Pricing and Billing

  • Service Fees. The client agrees to pay all agreed service fees and applicable taxes according to the approved agreement or milestone schedule.
  • External Costs. Expenses related to hosting, third-party software, plugins, APIs, cloud infrastructure, licenses, or external subscriptions are billed separately unless explicitly included.
  • Reimbursable Expenses. Reasonable project-related expenses may be invoiced to the client at cost.

Payment Conditions

  • Invoice Terms. Invoices are payable within five (5) business days from the invoice issue date unless otherwise agreed in writing.
  • Scheduled Payments. Payments shall follow the milestone schedule or monthly billing structure outlined in the project documentation.

Late payments may result in delayed project timelines or temporary suspension of active work.

Project Scope Changes

Scope Modification Requests

All requested changes to the approved scope must be submitted in writing for evaluation.

We will review the requested changes and provide details regarding pricing adjustments, timeline updates, and technical implications.

Minor Revisions

Small modifications or adjustments may be completed under standard hourly billing rates without requiring a separate agreement.

Major Revisions

Substantial functionality changes, additional modules, infrastructure redesigns, or major technical modifications may require a revised proposal or additional agreement.rovals, or job-related information may affect the overall timeline.

Approval of Revised Proposals

Updated proposals related to scope modifications should be approved within fourteen (14) business days to avoid delays in project execution.

Delays and Timeline Adjustments

Client Delays

The client agrees to provide approvals, access credentials, project materials, feedback, and requested information within reasonable timeframes.

Delays caused by missing information or untimely communication may extend project deadlines accordingly.

Company Delays

If delays occur due to circumstances on our side, we will inform the client promptly and provide updated delivery estimates.

Circumstances Beyond Control

Neither party shall be responsible for delays caused by circumstances outside reasonable control, including natural disasters, internet outages, labor disputes, cyber incidents, governmental actions, or force majeure events.

Review and Acceptance

Testing Procedures

Deliverables are reviewed and tested using commercially reasonable industry standards before submission to the client.

Approval Process

The client has seven (7) business days to review submitted deliverables and provide written approval or detailed rejection feedback.

If revisions are required, we will make reasonable corrections and resubmit the deliverables for additional review.

If no written response is received within the review period, the deliverables may be considered accepted.

Client Responsibilities

The client agrees to:

  • Supply accurate and lawful project materials;
  • Ensure legal rights to all provided content and resources;
  • Review deliverables and provide timely feedback;
  • Verify all supplied information before deployment or publication;
  • Make decisions regarding integrations, hosting, and third-party services without unnecessary delays.

Additional work resulting from inaccurate, incomplete, or delayed information may result in additional charges.

Attribution and Promotional Rights

  • Attribution Rights. Unless otherwise agreed, our company may place a discreet attribution reference within technical documentation or project materials.
  • Portfolio Usage. We reserve the right to display completed work, screenshots, project summaries, or case studies within company portfolios, presentations, websites, or marketing materials unless restricted by confidentiality obligations.
  • Public References. Both parties may publicly reference the cooperation relationship in a factual and professional manner unless restricted by separate agreement.

Confidentiality

Both parties agree to protect confidential technical, operational, commercial, and business information shared during cooperation.

Confidential information shall not be disclosed to third parties except where necessary for project execution, legal compliance, or authorized business operations.

Information shall not be considered confidential if it:

  • Is publicly available without breach of obligation;
  • Was already lawfully known before disclosure;
  • Is independently developed without access to confidential information;
  • Is received from another unrestricted source.

Relationship Between the Parties

  • Independent Contractor. Our company operates as an independent contractor. Nothing within this agreement creates an employment relationship, partnership, joint venture, or agency relationship.
  • External Specialists. We may engage subcontractors, consultants, or technical specialists while remaining responsible for agreed deliverables.
  • Non-Exclusive Cooperation. Both parties remain free to work with other clients, vendors, contractors, or service providers.

Limitation of Liability

All services are provided on an “as is” and “as available” basis unless otherwise expressly agreed in writing.

To the maximum extent permitted by law, our company shall not be liable for indirect, incidental, special, or consequential damages, including business interruption, lost revenue, lost profits, or data loss.

Any liability related to the project shall be limited to the amount paid by the client for the affected services.

Intellectual Property Rights

  • Usage License. Upon full payment, the client receives a non-exclusive, perpetual right to use the final deliverables for agreed business purposes.
  • Restrictions. The client may not redistribute, reverse engineer, extract, or commercially reuse proprietary frameworks, internal systems, or reusable technical components without written authorization.
  • Retained Ownership. Our company retains ownership of all internal methodologies, reusable code libraries, deployment systems, templates, workflows, and technical resources used during project execution.

Support and Maintenance

Additional maintenance, updates, troubleshooting, monitoring, optimization, or post-launch support services may be provided under separate agreements or billed at standard service rates. Support obligations become void if unauthorized third parties modify the deliverables or related infrastructure.

Revisions to These Terms

We reserve the right to revise or update these Terms and Conditions at any time.

Updated versions will be published on this page, and continued use of the website or services constitutes acceptance of the revised terms.
